Terms of Service

1. Agreement

These Terms of Service (“Terms”) are a binding agreement between you and Salon Factor LLC (“Salon Factor,” “we,” “us,” “our”) governing your access to and use of salonfactor.com, the Salon Factor application (hosted at salon subdomains and custom domains), and related services (collectively, the “Service”). By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. The Service

Salon Factor provides booking, scheduling, payments, and client-communication tools to beauty professionals and salons (“Customers”). Customers configure the Service to communicate with their own clients (“End Users”).

3. Accounts

You must provide accurate information, keep your credentials secure, and are responsible for activity under your account. You must be at least 18 and able to form a binding contract.

4. Customer responsibilities and consent

If you are a Customer, you are responsible for your use of client-communication features, including obtaining and maintaining all legally required consents from your clients before sending them messages, and for the content of messages you send. You agree to comply with all applicable laws, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM, and carrier and CTIA messaging requirements, and with our Acceptable Use rules in Section 7.

5. Payments and subscriptions

Paid plans are billed on a recurring basis through our payment processor (Stripe). Fees, billing cycles, and plan limits are described at checkout. Except as required by law or stated at purchase, fees are non-refundable. We may change pricing on prospective notice.

6. Messaging Program Terms (SMS/MMS)

By providing your mobile number and opting in, you consent to receive automated, recurring text messages (SMS/MMS) from or on behalf of the salon you interact with, sent via the Salon Factor platform. These include transactional messages (e.g. appointment confirmations, reminders, and changes) and, where you have separately opted in, marketing messages (e.g. promotions and offers).

How we handle the personal and opt-in information associated with messaging — including that mobile opt-in data is not shared with third parties or affiliates for marketing — is described in our Privacy Policy.

7. Acceptable use

You may not use the Service to send unlawful, deceptive, harassing, or unsolicited messages, or content that violates carrier or CTIA rules (including SHAFT-restricted content: sex, hate, alcohol, firearms, tobacco, and other prohibited categories) absent appropriate authorization. We may monitor, throttle, suspend, or terminate messaging that violates these Terms or applicable law, including suspending an individual Customer’s messaging without affecting others.

8. Intellectual property

We and our licensors own the Service and all related intellectual property. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service per these Terms. You retain ownership of content you submit and grant us the rights needed to operate the Service.

9. Third-party services

The Service integrates third-party providers (e.g. Stripe for payments, Telnyx for messaging). Your use of those features may be subject to their terms.

10. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation or message delivery.

11. Limitation of liability

To the maximum extent permitted by law, Salon Factor will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability arising out of or relating to the Service will not exceed the amounts you paid us in the twelve (12) months before the claim.

12. Indemnification

You agree to indemnify and hold Salon Factor harmless from claims arising out of your use of the Service, your content or messages, or your violation of these Terms or applicable law.

13. Termination

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms or applicable law, or to protect the Service or other users.

14. Governing law

These Terms are governed by the laws of the State of Arkansas, without regard to conflict-of-laws rules. The exclusive venue for disputes is the state or federal courts located in Arkansas.

15. Changes to these Terms

We may update these Terms from time to time; material changes will be posted here with a new “Last updated” date. Continued use after changes take effect constitutes acceptance.
